1. Who these Terms are between
These Terms are between you (or the organisation you represent) and ApexGEO, based in Cape Town, Western Cape, South Africa(the "Company", "we", "us"). By creating an account, signing an order form, or using the platform, you agree to these Terms. If you're using ApexGEO on behalf of an organisation, you confirm you have authority to bind that organisation.
2. The service
ApexGEO is a Generative Engine Optimization (GEO) and Answer Engine Optimization (AEO) platform. It audits websites for AI readability, tracks how often AI engines (ChatGPT, Claude, Gemini, Perplexity, Grok, DeepSeek, Copilot and others) cite your brand, generates brand-voice content, and ships structured-data fixes. We add features, retire them, and change them. We'll give at least 30 days' notice before deprecating a feature that customers materially rely on.
3. Accounts and access
- You're responsible for the security of your credentials and for everything that happens under your account. Use a strong password and turn on multi-factor authentication if it's available on your plan. Tell us at [email protected] immediately if you suspect unauthorised access.
- You must be at least 16 years old (or 13 with verifiable parental consent where local law permits, e.g. COPPA in the US). ApexGEO is a B2B product not designed for children.
- One person, one account. Team accounts can invite multiple seats — don't share a single login.
4. Subscriptions, billing, and refunds
Most ApexGEO plans are paid monthly or annually in advance. Pricing for your plan is shown at apexgeo.app/#pricing and in your order form for negotiated contracts.
- Payment processors. Global customers pay in USD via Stripe; South African customers pay in ZAR via Paystack. Card data never touches our servers — only your processor stores it.
- Taxes.Prices exclude VAT, GST, sales tax, and any other applicable taxes unless explicitly stated. Where required, we collect and remit tax on your behalf; otherwise it's your responsibility to self-assess.
- Auto-renewal. Subscriptions renew automatically at the end of each billing cycle. Cancel anytime in the dashboard or by emailing [email protected]; cancellation takes effect at the end of the current paid period.
- Refunds.We refund pro-rata if we cancel your subscription for reasons other than your breach. Otherwise our default policy is no refunds — but we're reasonable people. Talk to us if you have a genuine grievance.
- Statutory cooling-off.EU and UK consumer customers may have a 14-day cooling-off period under the Consumer Rights Directive. Because the service is digital and starts immediately, you waive this right when you sign up and start using the platform — consistent with Article 16(1)(m) of Directive 2011/83/EU (as amended by Directive (EU) 2019/2161, the "Omnibus Directive"). South African consumer customers retain rights under the Consumer Protection Act.
- Price changes.We give at least 30 days' notice before a price increase. If you don't agree to a new price you can cancel before it takes effect; finished paid periods are not retroactively re-priced.
5. Free trials and free plan
Free trials convert to a paid plan at the end of the trial unless you cancel. We'll send a reminder before that happens. The free plan has lower quotas and reduced support; it's designed for evaluation, not for high-volume production use.
6. Acceptable use
Don't use ApexGEO to:
- Audit or monitor sites you don't own or don't have permission to scrape.
- Bypass paywalls, rate limits, or access controls on third-party sites or AI engines.
- Generate, distribute, or amplify spam, malware, phishing content, deceptive impersonation, sexual content involving minors, or content that incites violence or unlawful discrimination.
- Reverse-engineer the platform, scrape our pages at volume, or benchmark us for the purpose of building a competing product (you're welcome to use us for normal competitive analysis of your own brand).
- Interfere with other customers' use of the platform — e.g. denial-of-service attacks on shared infrastructure, abusing the queue, or attempting privilege escalation.
- Submit data that infringes third-party intellectual property or violates someone else's privacy.
We may suspend or terminate accounts that breach acceptable use. Where the violation is unintentional and remediable, we'll usually email a warning first. For severe or repeated violations we suspend without warning.
7. Your data, your content, your IP
- Your data stays yours. You retain all rights in your brand metadata, content, audit URLs, and anything you upload or paste.
- Licence to operate the service. You grant us a non-exclusive, worldwide, royalty-free licence to host, copy, transmit, display, and modify your content solely to provide the platform to you. This licence ends when you delete the data or close your account, with a short tail for backups (see the Privacy Policy).
- Generated content.Drafts the AI produces for you (blog posts, schema blocks, meta descriptions, etc.) are yours to use. We make no copyright claim over them. Note that AI-generated text may have limited copyrightability in some jurisdictions — that's a legal question between you and your editor.
- Feedback you give us. If you suggest features or improvements, you grant us a perpetual licence to use that feedback without compensation.
8. Our intellectual property
ApexGEO, the platform, our website, our brand assets, and the algorithms behind the scoring and monitoring engines are our intellectual property. The platform is licensed to you, not sold. You get a non-exclusive, non-transferable, non-sublicensable right to use the platform during your paid subscription, subject to these Terms.
9. Third-party AI engines
We use third-party AI providers (Anthropic, OpenAI, Google, Perplexity, xAI, Mistral, Cohere, Together AI, Moonshot, Alibaba, DeepSeek) to deliver monitoring and content features. Their availability, model versions, and content policies are outside our control. We choose enterprise / no-training tiers where available and pin model versions in the codebase so behaviour is reproducible — but if a provider deprecates a model or changes its API, we may need to switch within a short window.
AI output is statistical. It can be wrong. Always review AI-generated content before publishing it under your brand. We are not liable for content you publish that we generated unless we guaranteed accuracy in writing.
10. Service availability
Free plans have no uptime commitment. We aim for 99.5% monthly uptime on paid plans as an operational target, but we do not commit to a contractual SLA on standard plans until we have at least 12 months of public uptime data (see Trust Center). Enterprise customers can negotiate a contractual SLA with service credits in their order form. Scheduled maintenance windows are announced at least 48 hours in advance and excluded from any uptime calculation.
Real-time service status is at /status. Recent releases are summarised on the changelog; incident postmortems land on the Trust Center when they occur.
11. Termination
- You can terminate anytime.Close the account from the dashboard. Your subscription stops at the end of the current paid period; we don't refund the unused portion of monthly plans, and pro-rata refund annual plans only if we caused the termination.
- We can terminate for breach.If you materially breach these Terms — payment failure that isn't cured within 14 days, acceptable-use violations, or fraudulent activity — we may suspend or terminate your account. Where possible we give written notice and a chance to cure.
- We can terminate for legal reasons. If your continued use exposes us to material legal risk (court order, sanctions designation, etc.), we may terminate immediately.
- Data export. You have 30 days from termination to export your audits, recommendations, and monitoring data via the API or the dashboard. After 30 days we begin the deletion path described in the Privacy Policy.
12. Warranties (and what we don't warrant)
We warrant that the platform will substantially conform to the description on apexgeo.app for the duration of your paid subscription. Beyond that warranty and to the maximum extent permitted by law, the platform is provided "as is" without warranties of merchantability, fitness for a particular purpose, or non-infringement.
Specifically, we do not warrant that AI-generated scores or content are accurate, that any particular AI engine will cite your brand, or that the platform will be uninterrupted or error-free. Nothing in this section limits warranties that cannot be excluded under your local consumer-protection law (e.g. South Africa's Consumer Protection Act, Australian Consumer Law, UK Consumer Rights Act).
13. Limitation of liability
To the maximum extent permitted by law:
- Neither party is liable for indirect, incidental, special, consequential, or punitive damages — including loss of profits, revenue, business opportunity, or data — even if advised of the possibility.
- Our total cumulative liability under these Terms is capped at the amount you paid us in the 12 months immediately preceding the event giving rise to the claim, or USD 100, whichever is greater.
- These limits do not apply to liability for gross negligence, wilful misconduct, fraud, or any liability that cannot be excluded under applicable law (including death or personal injury caused by negligence in jurisdictions where that exclusion is invalid).
14. Indemnity
You agree to indemnify and hold us harmless against third-party claims arising from your content, your breach of these Terms, your violation of law, or your infringement of someone else's rights. We agree to indemnify you against third-party claims that the platform (as delivered by us, without your modifications) infringes a registered copyright, trademark, or patent in your jurisdiction. Either side seeking indemnity must give prompt notice and reasonable cooperation, and let the indemnifying side control the defence.
15. Privacy and data protection
Our handling of personal data is governed by the Privacy Policy. For customers acting as controllers under GDPR / responsible parties under POPIA, we offer a Data Processing Addendum that becomes part of these Terms when signed. Request it at [email protected].
16. Confidentiality
Each side may receive non-public information from the other during the relationship — your brand strategy, our roadmap, pricing, etc. Both sides agree to keep that information confidential and use it only to perform under these Terms, for as long as the information stays non-public. Standard exceptions apply (information already public, independently developed, lawfully received from a third party, or legally required to be disclosed).
17. Changes to the Terms
We may update these Terms. Material changes get at least 30 days' advance notice via in-product banner and email; non-material clarifications and typo fixes ship without notice. If you don't agree to a material change, you may cancel before it takes effect. Continued use after the effective date counts as acceptance.
18. Force majeure
Neither side is liable for failure to perform caused by events outside its reasonable control — natural disaster, war, pandemic, government action, internet backbone failure, or a sub-processor's extended outage. The affected side must give prompt notice and use reasonable efforts to mitigate.
19. Governing law and dispute resolution
These Terms are governed by the laws of South Africa, without regard to its conflict-of-laws rules. The exclusive forum for any dispute that cannot be resolved by negotiation is the courts of Western Cape, sitting in Cape Town, except where your local consumer-protection law grants you a non-waivable right to sue in your own jurisdiction.
Informal resolution first. If you have a complaint, email [email protected]with a clear description of the problem and what resolution you're looking for. We'll respond within 30 days and try to resolve it before either side files anything.
Class-action waiver (US customers). To the extent permitted under US law, disputes must be brought individually, not as part of a class action or representative proceeding. This waiver does not apply where it would be unenforceable in your jurisdiction.
20. Miscellaneous
- Entire agreement. These Terms (with the Privacy Policy, Cookie Policy, and any signed order form or DPA) are the entire agreement between us, replacing prior discussions.
- Severability. If a court finds any provision unenforceable, the rest stays in force.
- Waiver.Our failure to enforce a provision isn't a waiver of it for future cases.
- Assignment.You can't assign these Terms without our written consent (except to an entity that acquires you). We can assign these Terms to an affiliate or in connection with a merger or sale of substantially all our assets.
- No agency. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship.
- Notices. Legal notices to us go to [email protected]. Notices to you go to the email address on your account.
- Export controls and sanctions.You confirm you're not located in, ordinarily resident in, or controlled by someone in a country or by a person subject to comprehensive sanctions imposed by South Africa, the United Nations Security Council, the European Union, the United Kingdom, or the United States.
